Ultimately, the Pritzker proposal carried the day. Four years later, in a landmark decision that shocked the corporate world, a sharply divided Supreme Court of Delaware held that the former board of directors of Trans Union had been "grossly negligent in that it failed to act with informer reasonable deliberation in agreeing to the Pritzker merger." The Court's astounding 3-2 decision would expose the ten former directors of Trans Union to catastrophic personal liability and transform the ground rules for corporate takeovers, all as chronicled later in numerous law review articles. Both the Delaware Court of Chancery opinion as well as the Delaware Supreme Court's decision are included as appendices to the book The late John Welch, former Chairman of General Electric, called the book "a remarkably accurate" account of the merger saga as he remembered it.
